A covenant in a loan agreement where the borrower agrees not to grant security interests over its assets to other creditors, or to provide equal security to the lender if security is given to others. Negative pledge clauses protect unsecured lenders by ensuring their claims are not subordinated to new secured debt. Exceptions typically allow for purchase money security interests and other specified liens.
