English Definition
The undisclosed, often unpatented but commercially valuable body of technical and operational knowledge of how to perform a task. In capital-intensive projects know-how sits at the core of EPC and technology-licence agreements, with technology transfer, performance guarantees and confidentiality provisions built around this intangible. The decisive distinction is that know-how can be contributed to an SPV as equity yet its valuation is highly contentious, and lenders often recognise such an in-kind contribution at a lower weight than cash equity.
