English Definition
The project-specific obligations that a borrowing project company undertakes to perform or refrain from under a loan agreement, taking the form of maintaining certain ratios, avoiding certain transactions, or reporting on a defined basis. The distinction between affirmative and negative covenants is standard; an additional-indebtedness prohibition, an asset-disposal restriction, and a DSCR threshold are typical examples. The experienced reader reads the covenant package not as a penalty mechanism but as an early-warning system; a well-calibrated covenant grants the lender the right to come to the table and renegotiate the structure well before default, which determines where actual control sits.
