English Definition
The contractual confinement of a creditor's right of recourse to a predefined pool of assets, cash flow, or amount — the foundational architectural principle of project finance. The limitation is not absolute: in specified recourse carve-out (bad-boy) events — breach of an environmental obligation, misrepresentation, or diversion of funds — recourse reopens toward the sponsor. The scope of these carve-outs is the distinction that determines how much the sponsor is truly insulated by the non-recourse structure, fought over in the most technical lines of the credit negotiation, since sponsor behaviour is indirectly disciplined through these exceptions.
