English Definition
A security agent is the agent who takes, holds and, where necessary, enforces the collateral on behalf of all lenders in a syndicated or club loan, removing the legal complexity that separate security-taking by each lender would create. In project finance the agent's powers are bounded by the intercreditor agreement; because the decision on when and how to enforce after default is usually tied to a defined majority vote, a single lender's demand for hasty enforcement is structurally blocked.
