English Definition
A transaction that alters a country's external assets or liabilities — cross-border direct investment, lending, share acquisition or property purchase — which, unlike current-account flows, is subject to a separate approval and reporting regime in many jurisdictions. In emerging-market project finance this distinction is decisive, since capital controls can directly restrict the inflow of sponsor equity, the repatriation of dividends and foreign-currency debt service. Lenders typically mitigate this structurally through offshore escrow accounts and convertibility assurances rather than relying on regulatory goodwill.
