English Definition
The legal maxim "let the seller beware," the counterpole of caveat emptor, placing responsibility for defects in goods sold on the seller as a rule. Modern consumer law and mandatory defect-liability regimes have reinforced it by progressively shifting risk onto the seller. In commercial and especially cross-border transactions, which principle governs turns on the applicable law; indeed the same defect may leave the buyer without remedy under caveat emptor in a seller-friendly jurisdiction while imposing full liability on the seller in a strong consumer-protection one, which makes the governing-law clause critical.
