Proje finansmanında kritik ayrım garantinin niteliğindedir: klasik kefalet türü garanti ikincil ve fer'idir; ilk talepte ödemeli (on-demand / first-demand) garanti ise bağımsızdır ve asıl borç ilişkisinden soyutlanmıştır. Kredi verenler ikincisini tercih eder, zira ilk talepte garanti belgelerin ibrazıyla, temerrüdün ispatı beklenmeden ödenir; buna karşılık fer'i nitelikteki bir garanti belgesi, lehtarı asıl borç ilişkisindeki uyuşmazlığın içine çeker ve tahsili geciktirir.
English Definition
A document evidencing that a guarantor undertakes to answer for another party's obligation should the principal obligor default. The decisive distinction in project finance is the nature of the guarantee: a classic suretyship guarantee is secondary and accessory, whereas an on-demand or first-demand instrument is independent and abstracted from the underlying debt. Lenders favour the latter, since an on-demand guarantee pays on presentation of documents without proof of default, while an accessory certificate of guarantee pulls the beneficiary into the underlying dispute and delays recovery.
