The official document issued by the companies registry evidencing that a company has been lawfully formed and holds separate legal personality from a stated date. In project finance the SPV's certificate of incorporation is a core condition-precedent document, since limited-recourse structures rest on a bankruptcy-remote, single-purpose vehicle. Lenders verify that the constitutional documents restrict the SPV's objects, its capacity to incur further indebtedness and its power to merge, so that the entity's legal personality cannot later be diluted and its collateral pool cannot bleed into unrelated activity.
