Bir kamu sicili tarafından düzenlenen ve belirli bir şeyin — şirket, teminat hakkı, varlık, gemi ya da fikri mülkiyet hakkının — resmen tescil edildiğini gösteren belgedir. Kredi verenler açısından belirleyici tescil, teminat hakkının kendi tescilidir: bir charge'ın tescil belgesi, teminatın öncelik (priority) tarihini sabitler. Çoğu yargı bölgesinde yasal süre içinde — sıklıkla 21 gün — tescil edilmeyen bir teminat, tasfiye memuruna karşı geçersiz sayılır ve tarafların iradesi ne olursa olsun kredi vereni sıralamada geriye düşürür; bu nedenle kapanışta tescilin fiilen tamamlanması takip edilir.
English Definition
A document issued by a public registry evidencing that a specified thing — a company, security interest, asset, vessel or intellectual property right — has been formally registered. For lenders the decisive registration is that of the security interest itself: a certificate of registration of a charge fixes its priority date. In most jurisdictions failure to register within a statutory window — often 21 days — renders the charge void against a liquidator, subordinating the lender regardless of the parties' intent, which is why completion of registration is tracked closely at closing.
