Bir şirkette belirli sayıda paya sahip olunduğunu gösteren fiziki belgedir. Proje finansmanında özel amaçlı şirketin (SPV) hisse senetleri tipik olarak kredi verenlere pay rehni (share pledge) olarak verilir; asıl sertifikalar, imzalı ve boş bırakılmış pay devir formlarıyla birlikte emanette (escrow) tutulur. Böylece temerrüt hâlinde kredi verenler, tek tek proje varlıklarını icra etmek yerine şirketin tamamının mülkiyetini devralarak çok daha hızlı bir yoldan tahsilata gidebilir; pay rehninin teminat paketinin en tepesinde yer almasının nedeni de tam olarak bu icra hızıdır.
English Definition
A physical document evidencing ownership of a stated number of shares in a corporation. In project finance the SPV's share certificates are typically pledged to lenders as share security; the original certificates, together with signed blank stock transfer forms, are held in escrow. On default this lets lenders enforce by taking ownership of the entire company rather than realising individual project assets one by one — a materially faster route, and a large part of why the share pledge sits at the top of the security package.
