Mülkiyeti fiziki bir sertifika ile temsil edilen menkul kıymettir; elektronik ortamda kayden (book-entry) tutulan sertifikasız menkul kıymetin karşıtıdır. Bu ayrım teminatın nasıl tekemmül ettirileceğini (perfection) doğrudan değiştirir: sertifikalı paylarda teminat tipik olarak ciro edilmiş sertifikanın teslimiyle tekemmül ederken, kayden tutulan haklarda tekemmül, aracı kurumla yapılan kontrol sözleşmeleri (control agreement) üzerinden sağlanır. Fiili sertifikaları ya da bir kontrol sözleşmesini eline almadan rehin alan bir kredi veren, tekemmül etmemiş ve dolayısıyla üçüncü kişilere karşı korunmasız bir teminat taşıyabilir.
English Definition
A security whose ownership is evidenced by a physical certificate, as opposed to an uncertificated (book-entry) security held electronically. The distinction directly changes how a security interest is perfected: perfection over certificated shares typically requires delivery of the endorsed certificate, whereas book-entry interests are perfected through control agreements with the intermediary. A lender that takes a pledge without securing the actual certificates or a control agreement may hold an unperfected — and therefore vulnerable — interest.
