English Definition
In US insolvency law, the term refers to the numbered chapters of the Bankruptcy Code that govern its liquidation and reorganization regimes — Chapter 7 providing for the liquidation of assets and Chapter 11 for a debtor's reorganization as a going concern. The distinction sits at the heart of project-finance structuring: the purpose of forming a bankruptcy-remote special-purpose vehicle, insulated from the sponsor, is to keep the project's assets and cash flows out of any Chapter 11 filing by that sponsor. Lenders accordingly condition the SPV's ability to file voluntarily on the consent of an independent director.
