Lehine charge tesis edilen taraftır — rehin alan (chargee); tipik olarak kredi veren ya da bir sendikasyon adına teminatı elinde tutan güvence vekilidir (security trustee). Sendikasyon ve proje finansmanlarında charge nadiren her kredi veren tarafından ayrı ayrı tutulur; bunun yerine tek bir güvence vekili ya da acente, tüm teminatlı taraflar adına teminatı elinde bulundurur. Bu yapı hem icrayı basitleştirir hem de kredi verenler paylarını (participation) devrettiğinde teminatı yeniden tesis etme gereğini ortadan kaldırır; zira tröst yapısı, tescilli rehin alanı değiştirmeden lehtar menfaatinin el değiştirmesine imkân tanır.
English Definition
The party in whose favour a charge is granted — the chargee, typically the lender or a security trustee holding for a syndicate. In syndicated and project financings the charge is rarely held by each lender directly; instead a single security trustee or agent holds it for all secured parties. This both simplifies enforcement and avoids re-taking security when lenders transfer their participations, since the trust structure lets the beneficial interest move without disturbing the registered charge holder.
