English Definition
The contract or deed that legally creates a security interest over an asset and sets out the parties' rights and obligations. In project financing it forms the core of the security package, since it defines the scope of the security, the events of default, the creditor's enforcement powers, and the right to appoint a receiver; the breadth of its definitions governs how quickly and by what process a creditor can realize the assets on default. The choice of governing law and mode of registration directly affects the instrument's enforceability in cross-border projects.
