Bir şirketin günlük yönetiminin en üst sorumlusu olan, yönetim kurulunca belirlenen stratejiyi uygulamaya geçiren ve şirketi dışarıya karşı temsil eden yöneticidir. Proje finansmanında proje şirketinin CEO'su çoğu zaman sponsor tarafından atanır, ancak kredi verenlerin kilit yönetici değişikliğine ilişkin onay hakkı ve anahtar personel (key person) hükümleri, bu atamayı tümüyle sponsorun serbestisine bırakmaz. Yönetim kurulu ile CEO arasındaki formel otorite ile fiilî karar gücü arasındaki fark, tek-sponsorlu yapılarda çoğu zaman kâğıt üzerindeki dağılımdan daha yoğundur.
English Definition
The officer with ultimate responsibility for a company's day-to-day management, who executes the strategy set by the board and represents the company externally. In project financing the project company's CEO is often appointed by the sponsor, yet lenders' consent rights over key management changes and key-person provisions keep the appointment from resting entirely on the sponsor's discretion. The gap between formal authority and actual decision-making power between the board and the CEO is often more pronounced in single-sponsor structures than the paper allocation suggests.
