Proje finansmanında sponsor şirketin ya da proje şirketinin üst yönetiminin niteliği, kredi verenlerin değerlendirmesinde teknik parametreler kadar ağırlık taşır; zira uzun vadeli bir taahhüdün karşı tarafı nihayetinde bir yönetim ekibinin icra kapasitesidir. Kilit yönetici değişiklikleri (key-man riski) bazı kredi sözleşmelerinde bildirim ya da onay yükümlülüğüne, hatta belirli hallerde temerrüt tetiğine bağlanır.
English Definition
The most senior executive of a company, responsible for running day-to-day operations and for corporate performance in line with the strategy set by the board. In project finance, the quality of a sponsor's or project company's senior management weighs in lenders' assessment as heavily as technical parameters, since the counterparty to a long-dated commitment is ultimately a management team's capacity to execute. Changes in key executives (key-man risk) are tied in some credit agreements to notice or consent obligations, and in certain cases to a default trigger.
