English Definition
The senior officer responsible for the whole of a company's legal and compliance function; the difference from a chief counsel is that in most structures the role carries a broader mandate covering compliance, regulatory relations, and corporate governance. In project financing this office safeguards the integrity of the contract portfolio, the continuity of the permit and license regime, and the contractual effect of regulatory change. On complex, multi-jurisdictional projects the CLO's real function is to keep documents signed under different legal systems from conflicting and to manage how a default in one jurisdiction propagates to the others.
