Bir sözleşmenin hangi ülkenin maddi hukukuna tabi olacağını belirleyen irade beyanıdır; uyuşmazlık halinde yorum, ifa ve geçersizlik sorularının hangi hukuka göre çözüleceğini önceden sabitler. Sınır ötesi proje finansmanında finansman belgeleri çoğunlukla İngiliz ya da New York hukukuna bağlanırken, proje ve teminat yerel hukuka tabi kalır; bu ayrışma, kredi sözleşmesinin uygulanacak hukuku ile teminatın bulunduğu yer hukuku (lex situs) arasında yönetilmesi gereken bir katman yaratır. Alacaklı, öngörülebilir içtihat ve tarafsız forum uğruna bu bölünmeyi bilinçle tercih eder.
English Definition
The contractual designation of which body of substantive law governs an agreement, fixing in advance the law under which questions of interpretation, performance and validity will be resolved in a dispute. In cross-border project finance the financing documents are commonly governed by English or New York law even though the project and its collateral remain subject to local law, producing a deliberate split between the governing law of the loan and the lex situs of the security. Lenders accept this bifurcation to secure predictable precedent and a neutral forum.
