Bir tarafın yükümlülüklerinin ya da menfaatlerinin birbiriyle çeliştiği durumdur. Proje finansmanında klasik çatışma, aynı sponsorun aynı zamanda EPC yüklenicisi ya da işletme-bakım (O&M) sağlayıcısı olmasıdır; bu durumda ilişkili taraf sözleşmeleri projenin maliyet tabanını şişirebilir. Kredi verenler bu nedenle söz konusu sözleşmelerin emsallere uygun (arm's length) olmasını arar ve due diligence sürecinde fiyatlamayı bağımsız kıyaslamaya tabi tutar; zira kâr, bir taraftan proje şirketinden çıkıp diğer taraftan sponsorun kendi yüklenici koluna aktarılabilir.
English Definition
A situation in which a party's duties or interests are set against one another. In project finance the classic conflict is a sponsor that is also the EPC contractor or the operations-and-maintenance provider, so that related-party contracts can inflate the project's cost base. Lenders therefore require such contracts to be on arm's-length terms and subject their pricing to independent benchmarking in due diligence, since profit can otherwise be drawn out of the project company on one side and channelled into the sponsor's own contracting arm on the other.
