Bir taşınmaz ya da varlık üzerindeki mülkiyetin; ipotek, haciz, irtifak ya da üçüncü kişi iddiası gibi yükümlülüklerden arınmış, devri engelleyecek herhangi bir kısıtlama taşımayan durumudur. Proje finansmanında arazi üzerinde temiz tapunun tesisi ya da mevcut yüklerin kapanışta terkini, kredi çekişinin sessiz ön koşuludur; tapu araştırmasında ortaya çıkan tek bir eski irtifak ya da geçit hakkı dahi, kredi verenin ilk derece ipoteğinin önceliğini zayıflatarak teminat paketinin yeniden yapılandırılmasını gerektirebilir.
English Definition
The condition in which ownership of a property or asset is free of encumbrances such as mortgages, liens, easements or third-party claims, and carries no restriction that would impede transfer. In project finance, establishing clean title to the site — or discharging existing charges at closing — is a quiet condition precedent to drawdown. A single old easement or right of way surfaced in the title search can weaken the priority of the lender's first-ranking mortgage and force a restructuring of the security package.
