English Definition
The obligation to remediate, to applicable standards, the contamination and environmental degradation that arose at a site or facility before the current operation was taken over. In brownfield acquisitions the allocation of this historic liability between the parties is among the most contested items of the deal; the buyer typically demands a seller indemnity, a firm cut-off date and an escrow account ring-fenced to fund it, since latent legacy contamination can undermine the feasibility case years after closing. Regulators, moreover, often pursue the current owner regardless of who caused the damage.
