Kredi sözleşmelerinde bu tarih yalnızca sembolik bir dönüm noktası değildir; faiz tahakkuku, availability period'un başlangıcı, commitment fee'nin işlemeye başladığı an ve çoğu covenant test takviminin sıfır noktası bu tarihe çıpalanır. Uzun-stop tarihi (long-stop date) ile arasındaki aralık, tarafların koşulları sağlayamaması hâlinde işlemin tek taraflı feshedilebileceği pazarlık penceresini tanımlar.
English Definition
The calendar day on which a transaction is legally completed, conditions precedent are satisfied, and signatures and the transfer of funds take effect. In loan documentation this date is more than a symbolic milestone: interest accrual, the start of the availability period, the point at which the commitment fee begins to run, and the zero point of most covenant testing schedules are all anchored to it. The gap between it and the long-stop date defines the window within which either party may walk away if conditions remain unmet.
