English Definition
A defect, adverse claim, or recorded encumbrance in a property's chain of ownership that renders title disputable or blocks its transfer — an unreleased mortgage, a faulty registration, an inheritance dispute, or a stale easement all qualify. In project finance such a shadow over the land is among the most common causes of delay at loan closing, because lenders insist their security be perfected as a first-ranking, unencumbered charge; and while title insurance prices most defects, an unresolved claim can halt the start of construction even where permits are fully in hand.
