Bir projeyi birlikte fonlayan kredi verenlerin haklarını, yükümlülüklerini ve aralarındaki ilişkiyi düzenleyen ana kredi belgesidir; tek bir ortak koşullar sözleşmesi (common terms agreement) etrafında ya da her kredi verenin ayrı ama koşut belgeleriyle kurulabilir. Kritik olan, ortak koşullar sözleşmesinin covenant, temerrüt hâli ve ön koşulları tüm kredi verenler için tek bir standarda bağlaması; böylece bir kredi verenin tek taraflı taviz vererek ortak teminat havuzunu zayıflatması engellenir. Çapraz temerrüt (cross-default) hükmü, bir dilimdeki temerrüdü tüm finansmana yayarak kaldıraç dengesini kredi verenler lehine kurar.
English Definition
The principal loan document governing the rights, obligations, and mutual relationship of the lenders jointly funding a project, structured either around a single common terms agreement or through separate but parallel documents for each lender. What matters is that the common terms agreement binds the covenants, events of default, and conditions precedent to a single standard across all lenders, preventing any one of them from unilaterally granting a waiver that weakens the shared security pool. A cross-default provision spreads a default in one tranche across the whole financing, setting the balance of leverage in the lenders' favor.
