Proje finansmanında sponsor ya da ana şirketin proje şirketiyle birlikte müşterek borçlu sıfatıyla imzalaması, sınırlı-rücu (limited recourse) yapıyı fiilen delen bir tam-rücu köprüsü kurar; bu nedenle sponsorlar bu yükümlülüğü tamamlama garantisi (completion guarantee) gibi zaman ve olay sınırlı biçimlere daraltmaya çalışır.
English Definition
A party who signs a promissory note or debt instrument together with the principal borrower and assumes the payment obligation jointly and severally; unlike a guarantor, the creditor may demand payment directly from the co-maker without first pursuing the principal. In project finance, a sponsor or parent signing as co-maker alongside the project company effectively pierces the limited-recourse structure by creating a full-recourse bridge, which is why sponsors work to narrow this obligation into time- and event-limited forms such as a completion guarantee that falls away once the project reaches defined milestones.
