English Definition
In a securities offering, a letter from the independent auditors to the issuer and underwriters providing limited, negative assurance on the financial information in the prospectus — expressed as an assurance that nothing came to their attention rather than as an affirmative endorsement. The label cold points to the measured and conditional nature of that assurance. In practice the letter functions as a liability shield forming part of the underwriters' due diligence defense, and aligning its content and its date with closing — the bring-down — is a quiet but critical step in the issuance process.
