Bir kambiyo senedinin, doğrudan ödeme aracı olarak değil, mevcut bir borcun ifasını güvence altına almak üzere alacaklıya rehin ya da tevdi edilmesiyle oluşan teminat düzenlemesidir. Asıl borç ilişkisi ile teminat senedi hukuken ayrı yükümlülükler doğurduğundan, alacaklı temerrüt hâlinde her iki hattı da işletebilir; ancak aynı alacağı iki kez tahsil edemeyeceğinden, senedin nakde çevrilmesiyle asıl borç bu ölçüde sönümlenir. Proje finansmanında bu yapı, ara köprü kredilerinde ek güvence katmanı olarak sıkça görülür.
English Definition
A bill of exchange lodged or pledged with a creditor not as a means of direct payment but to secure the performance of an underlying obligation. Because the security instrument and the principal debt constitute legally distinct liabilities, the creditor may pursue both on default, yet cannot recover the same sum twice, so realising the bill extinguishes the principal debt to that extent. In project financing such collateral bills commonly reinforce short-dated bridge facilities where the lender wants a self-liquidating fallback.
