Borçlunun ödeme vaadini içeren emre yazılı senedin, geri ödemeyi güvenceye almak üzere rehnedilmiş bir varlıkla desteklenmesiyle oluşan teminatlı borç senedidir. Poliçeden farkı, üçüncü bir muhatabı değil, doğrudan borçlunun kayıtsız ödeme taahhüdünü içermesidir; teminatın varlığı senedi kambiyo hukukunun soyutluğu ile teminat hukukunun somutluğu arasında konumlandırır. Proje finansmanında sponsor tarafından verilen teminat senetleri, öz kaynak taahhütlerinin (equity commitment) ifasını güvenceye almakta kullanılır.
English Definition
A promissory note embodying the debtor's payment undertaking, reinforced by a pledged asset that secures repayment. Unlike a bill of exchange it names no third-party drawee but carries the maker's own unconditional promise to pay, and the attached security places it between the abstraction of negotiable-instrument law and the concreteness of security law. In project financings collateral notes issued by sponsors are frequently used to secure the performance of equity commitment obligations.
