Teminatın fiziksel varlıklar değil finansal enstrümanlar olması, geri kazanımı bu kâğıtların temerrüt anındaki piyasa değerine bağlar; mütevelli, tahvil sahipleri adına teminatı elde tutar ve gerektiğinde nakde çevirir. Holding yapılarındaki proje finansmanında bu enstrüman, ana şirketin iştirak varlıklarını doğrudan devretmeden kaldıraç yaratmasına imkân verir.
English Definition
A bond secured not by physical assets but by securities — often the shares or bonds of a subsidiary — that the issuer deposits with a trustee and pledges as a collateral pool. Because the security consists of financial instruments, recovery depends on those papers' market value at the moment of default, with the trustee holding the collateral for the bondholders and realising it if required. In holding-company project structures this instrument lets a parent create leverage without directly transferring its operating assets.
