English Definition
The place that constitutes the centre of a merchant's or company's commercial activity and is treated as its legal point of attachment, which may diverge between the registered seat and the place of effective management. In project financing, the choice of commercial domicile determines the tax regime, governing law, and jurisdiction, so the project company is frequently incorporated in a jurisdiction selected for its treaty network, freedom to repatriate profit, and enforceability of creditor rights — a choice that may differ from the country where the asset physically sits.
