English Definition
The official register in which the legal status of merchants and trading companies — incorporation, capital, authority to represent, dissolution — is publicly recorded, providing publicity and reliance to third parties. In project-finance due diligence, commercial-register entries are the primary source for verifying a counterparty's signing authority, capital structure, and encumbrances; in taking security, registration of the pledge or mortgage is often the precondition for the creditor's right to be assertible against third parties (perfection), and a defect in registration can render the security effectively worthless.
