English Definition
Commercial or technical information of an enterprise, unknown to third parties, whose economic value arises from being kept secret — production methods, customer lists, pricing structures, formulae. In project financing, commercial secrets are a point of tension in due diligence; lenders and prospective buyers seek access to sensitive information in the data room, while the seller constrains it through a non-disclosure agreement and staged disclosure. Because a failed transaction risks the counterparty carrying away a secret that erodes value in a rival's hands, the disclosure architecture must be layered with care.
