Bir kredi verenin, belirlenen koşullar sağlandığında belirli bir tutara kadar finansman sağlama yönündeki bağlayıcı yükümlülüğüdür; henüz çekilmemiş olsa dahi borçlu lehine kullanılabilir bir hak doğurur. Proje finansmanında taahhüt, çekiş öncesi koşulların (conditions precedent) karşılanmasına bağlanır ve kredi verenin bu koşullar sağlanmadan çekişi reddetme hakkı, finansmanın kesinliği ile esnekliği arasındaki gerilimin merkezindedir; sponsor için asıl risk, teknik bir CP ihlalinin taahhüdü askıya alarak projeyi inşaat ortasında finansmansız bırakma ihtimalidir.
English Definition
A lender's binding obligation to provide financing up to a specified amount once defined conditions are met; even undrawn, it creates a drawable right in the borrower's favour. In project financing, the commitment is tied to satisfaction of conditions precedent, and the lender's right to refuse a drawdown until those conditions are met sits at the centre of the tension between certainty and flexibility of financing; for the sponsor the real risk is that a technical CP breach suspends the commitment and leaves the project unfunded midway through construction.
