A document that, in a lender's internal approval process or its presentation to the borrower, compiles the terms, rationale, and risk assessment of the proposed financing, forming the basis for the credit committee's decision. In project financing the commitment memorandum is the document showing how the transaction aligns with the bank's internal criteria, so how the information a sponsor supplies is transformed into the risk narrative of that memorandum is critical; the frame the credit committee sees arises not from the sponsor's story but from the risk framing the analyst builds in the memorandum, so early information discipline directly affects the probability of approval.
