Bir şirketin özsermayesinde en temel mülkiyet birimini temsil eden, sahibine oy hakkı ve kâr payı (temettü) hakkı veren ancak tasfiye ve ödeme sırasında imtiyazlı pay ile borç verenlerin gerisinde kalan menkul kıymettir. Adi niteliği, sabit bir getiri vaat etmemesi ve şirketin artık değerine (residual claim) en son erişen taraf olması anlamına gelir; getiri yukarı yönde sınırsız, aşağı yönde ise sermayenin tümüne kadar risklidir. Proje finansmanında sponsor sermayesi tipik olarak bu katmanda durur ve kredi verenlerin ilk zararı emen first-loss tamponunu oluşturur; sermaye yapısının en pahalı ama en esnek dilimi olması da buradan gelir.
English Definition
The most basic unit of ownership in a company's equity, granting its holder voting rights and a right to dividends but ranking behind preferred stock and all creditors in liquidation and payment order. Its common character means it promises no fixed return and stands last in line for the residual claim on the company; the return is unbounded on the upside and, on the downside, at risk up to the whole of the capital. In project financing sponsor equity typically sits in this tranche and forms the first-loss buffer that absorbs the initial loss ahead of lenders, which is why it is the costliest but most flexible slice of the capital structure.
