Bir yargı bölgesinde şirketlerin kuruluşunu, yönetim yapısını, sermaye rejimini, pay sahibi haklarını ve tasfiyesini düzenleyen temel kanundur; İngiliz hukuk geleneğindeki adıyla anılsa da işlevsel karşılığı hemen her ülkede mevcuttur. Proje finansmanı bakımından bu kanunun kritik hükümleri, sermaye koruma kuralları, temettü dağıtım kısıtları, teminat verme ve varlık rehni yetkisi ile yönetim kurulunun işlem onay eşikleridir; özel amaçlı şirketin (SPV) kredi verene teminat verebilme kapasitesi doğrudan bu çerçeveyle sınırlanır. Nitekim sınır ötesi bir işlemde hukuki görüş (legal opinion), SPV'nin teminat paketini geçerli biçimde tesis etme ehliyetini bu kanuna atıfla teyit eder.
English Definition
The foundational statute in a jurisdiction governing the incorporation, management structure, capital regime, shareholder rights and winding-up of companies; though known by its English-tradition name, its functional equivalent exists in nearly every country. For project finance the critical provisions are the capital-maintenance rules, restrictions on dividend distribution, the authority to grant security and pledge assets, and the board's transaction-approval thresholds; a special-purpose vehicle's capacity to grant security to a lender is bounded directly by this framework. Indeed, in a cross-border transaction the legal opinion confirms the SPV's capacity to establish the security package validly by reference to this statute.
