Şirketlerin tüzel kişiliğini, iç işleyişini, organları arasındaki yetki dağılımını ve üçüncü kişilere karşı sorumluluk rejimini düzenleyen hukuk dalıdır; tek bir kanundan çok, mevzuat, içtihat ve şirket iç düzenlemelerinin oluşturduğu bir bütündür. Bu alanın proje finansmanına dokunduğu asıl nokta, tüzel kişilik perdesinin (corporate veil) sağladığı sorumluluk sınırlamasıdır; özel amaçlı şirket yapısının tüm mantığı, proje riskinin sponsorun bilançosundan ayrıştırılabilmesine, yani bu perdenin ayakta kalmasına dayanır. Nitekim kredi verenler sponsordan sınırlı ya da tam rücu (recourse) talep ederken, aslında şirketler hukukunun çizdiği bu sorumluluk sınırını sözleşmeyle yeniden konumlandırırlar.
English Definition
The branch of law governing the legal personality of companies, their internal workings, the allocation of authority among their organs and their liability regime toward third parties; less a single statute than a whole formed of legislation, case law and internal company rules. Its principal point of contact with project finance is the limitation of liability afforded by the corporate veil; the entire logic of the special-purpose vehicle structure rests on separating project risk from the sponsor's balance sheet, that is, on that veil holding. Indeed, when lenders seek limited or full recourse to the sponsor, they are in effect repositioning by contract the liability boundary that company law draws.
