English Definition
A senior functionary carrying defined authority and responsibility in the day-to-day management of the company, typically appointed by the board — the chief executive, chief financial officer and company secretary being the principal instances. Their legal significance lies in the power to bind the company toward third parties and in the personal liability that can arise from misuse of that power; the signature circular and authority matrix set who may bind a transaction of what size alone. In project finance lenders require, before closing, the corporate resolutions and authority documents confirming that the officer signing the finance documents can validly do so; a defect in authority can vitiate even the enforceability of the security established.
