Bir işletmenin yönetim kadrosunun; stratejiyi kurma, operasyonu yürütme ve kriz anında sermaye ile nakdi koruma kabiliyetinin nitel değerlendirmesidir. Kredi ve öz kaynak analizinde çoğu zaman rakama dökülemeyen ama sonucu belirleyen bir değişkendir. Proje finansmanında kredi komiteleri, sponsorun ve EPC yüklenicisinin benzer ölçekteki projeleri zamanında ve bütçe içinde kapatma geçmişini tartar; yönetim yetkinliğine dair tereddüt, tipik olarak daha sıkı covenant paketi, daha yüksek rezerv gereği ya da anahtar personel (key-man) hükümleriyle fiyatlanır. English Definition
The qualitative assessment of a management team's ability to set strategy, run operations, and protect capital and cash in a downturn — a variable that resists quantification yet frequently determines the outcome of credit and equity analysis. In project finance, credit committees weigh the track record of the sponsor and EPC contractor in closing comparable projects on time and on budget. Doubt about management competence is typically priced through a tighter covenant package, higher reserve requirements, or key-man provisions rather than expressed directly — an invisible risk premium folded into the margin.
