İki katmanlı bir terimdir: genel anlamda bir hakkın ihlaline dair resmi yakınmayı; ABD hukuk usulünde ise davayı başlatan ve iddiaları ortaya koyan ilk dilekçeyi (complaint) ifade eder. Dilekçe, davanın çerçevesini ve talep edilen hukuki korumayı baştan çizer. Proje finansmanında bir davanın açılması çoğu zaman kredi sözleşmelerindeki 'esaslı dava' (material litigation) bildirim yükümlülüğünü tetikler; belirli bir eşiği aşan bir complaint, sponsorun kredi verene derhal bildirimde bulunmasını gerektirir ve kimi yapılarda temerrüt olayına dahi yol açabilir. Bu nedenle bir şikâyetin resmi olarak dosyalanması, salt hukuki değil, doğrudan finansal bir olaydır.
English Definition
A two-layered term: in general usage a formal grievance over the violation of a right; in US civil procedure the initial pleading that commences a lawsuit and sets out the claims. The pleading frames the case and the relief sought from the outset. In project finance, filing a suit often triggers the 'material litigation' notice obligation in loan agreements; a complaint exceeding a defined threshold requires the sponsor to notify the lender immediately and, in some structures, can even constitute an event of default. The formal filing of a complaint is therefore not merely a legal but a directly financial event.
