Bir kuruluşun; yasalara, düzenlemelere, sözleşme hükümlerine ya da iç politikalara uygun hareket edip etmediğini doğrulayan denetimdir; mali tabloların doğruluğunu sınayan finansal denetimden bu yönüyle ayrılır. Proje finansmanında bu kavram doğrudan kredi mekaniğine bağlanır: sponsorun covenant'lara ve özellikle çevresel-sosyal (E&S) koşullara uyumu, dönemsel uyum sertifikaları ve bağımsız denetimlerle teyit edilir. Bir uyum denetiminde ortaya çıkan bulgu, salt bir düzeltme notu olmanın ötesine geçebilir; belirli bir eşiği aşan ihlal, çekiş durdurma (drawstop) ya da temerrüt olayını tetikleyebilir. Bu nedenle uyum denetimi, kâğıt üzerindeki bir formalite değil, finansmanın akışını fiilen kontrol eden bir kapıdır.
English Definition
An audit verifying whether an organization has acted in accordance with laws, regulations, contractual terms or internal policies — distinct from a financial audit that tests the accuracy of statements. In project finance the concept ties directly into credit mechanics: the sponsor's compliance with covenants and, especially, environmental and social (E&S) conditions is confirmed through periodic compliance certificates and independent audits. A finding in a compliance audit can go beyond a corrective note; a breach exceeding a defined threshold can trigger a drawstop or an event of default. Compliance audit is therefore not a paper formality but a gate that actually controls the flow of financing.
