English Definition
A formal arrangement between a debtor and its creditors that, on approval by the requisite majority and, in most jurisdictions, sanction by a court, binds even a dissenting minority, its purpose being to stop scattered individual enforcement from eroding asset value. The decisive question in project finance is which creditor class votes separately and whether the secured lender is drawn into the composition at all; because the secured party usually stands outside it on the strength of its collateral, the unsecured class bears the real burden. Consequently the negotiation is settled by class construction and voting thresholds before the dividend percentage is ever fixed.
