Deniz sigortasında, bir hasarın gerçek (actual) ya da hükmi (constructive) tam zıya sayılıp sayılmayacağı tartışmalıyken, sigortacı ile sigortalının davaya gitmeden pazarlıkla üzerinde anlaştıkları ve tam zıya olarak tazmin edilen çözümdür; taraflar belirsizliği ve dava masrafını, kesin ama çoğu kez tam poliçe bedelinin altında bir ödemeyle değiştirir. Proje finansmanında ithal ana ekipmanın deniz taşımasında uğradığı ağır hasar bu yolla kapandığında, kredi verenin asıl kaygısı tazminatın miktarından çok zamanlamasıdır; uzlaşma müzakeresi uzarsa, ikame ekipman tedariki gecikir ve ticari işletmeye alma tarihi (COD) kayar.
English Definition
In marine insurance, a claim that the insurer and the assured, rather than litigating whether a loss amounts to an actual or a constructive total loss, agree by negotiation to settle and pay as a total loss; the parties exchange the uncertainty and cost of a dispute for a definite payment, often set below the full insured value. When heavy damage to imported core equipment in ocean transit is closed this way in a project financing, the lender's real concern is timing rather than quantum: a protracted settlement delays procurement of replacement equipment and pushes commercial operation, so lenders often require assignment of insurance proceeds and a fixed settlement window.
