English Definition
In a development-finance institution, the internal document through which a project idea is submitted for in-principle approval, summarising its rationale, an initial risk assessment, its estimated size, and a preparation plan. In project finance the memorandum shapes the frame of the later appraisal and negotiation stages, because the assumptions it constructs tend to carry forward into subsequent phases without being re-examined. For lenders and co-financiers its real value is that it shows early which strategic rationale and risk appetite the institution brought to the project; the reservations recorded in the memorandum frequently turn, quietly, into the final conditions.
