Bir imtiyaz sözleşmesi kapsamında devralınan varlığın ya da hizmetin fiili işletmesini üstlenen taraftır; kimi yapıda imtiyaz sahibinin kendisi, kimi yapıda ise onun görevlendirdiği ayrı bir işletme şirketidir. Proje finansmanında işletmecinin teknik yetkinliği ve mali sağlamlığı, imtiyaz süresince gelir üretiminin sürekliliğini belirlediğinden due diligence'ın odağındadır; işletmecinin değiştirilmesi gereken senaryolar için kredi verenler devir (step-in) ve ikame işletmeci atama haklarını sözleşmeye yerleştirir. İşletme sözleşmesinin performans standartları ile imtiyazın kamuya karşı yükümlülükleri arasındaki boşluk, çoğu kez sessizce imtiyaz sahibinin sırtında kalır.
English Definition
The party that undertakes the actual operation of the asset or service taken over under a concession; in some structures the concessionaire itself, in others a separate operating company it appoints. In project finance the operator's technical competence and financial soundness are a focus of diligence, because they determine the continuity of revenue generation over the concession term; for scenarios in which the operator must be replaced, lenders embed step-in and substitute-operator rights in the contract. The gap between the performance standards of the operating contract and the concession's obligations toward the public frequently rests, quietly, on the concessionaire, which is why the two documents are read against each other.
