İmtiyaz sözleşmesiyle, kamuya ait bir varlığı ya da hizmeti belirli süre boyunca finanse etme, inşa etme ve işletme hakkını devralan özel taraftır; proje finansmanında bu rolü çoğunlukla tek amaçlı bir varlık şirketi (SPV) üstlenir. SPV yapısının amacı, imtiyazın ürettiği risk ve nakit akışını sponsorun diğer varlıklarından ayırarak borcu proje varlıklarıyla sınırlamaktır (ring-fencing); böylece kredi verenlerin geri dönüşü, sponsorun bilançosuna değil, imtiyazın kendisine dayanır. İmtiyaz sahibinin hisse yapısındaki değişiklik (change of control) çoğu imtiyaz ve kredi anlaşmasında hem otoritenin hem kredi verenin onayına bağlandığından, ikincil satışların önündeki gerçek engel budur.
English Definition
The private party that, under a concession, takes on the right to finance, build, and operate a public asset or service for a defined term; in project finance this role is usually held by a single-purpose vehicle (SPV). The purpose of the SPV structure is to ring-fence the risk and cash flow the concession generates from the sponsor's other assets, confining the debt to the project's assets, so that the lenders' recourse rests on the concession itself rather than the sponsor's balance sheet. Because a change of control in the concessionaire is made subject to both the authority's and the lenders' consent in most concession and loan agreements, this is the real obstacle to secondary sales.
