İki tarafın karşılıklı edimlerini aynı anda ifa etmesini gerektiren, birinin ifasının diğerinin eşzamanlı ifasına bağlı olduğu koşuldur; klasik örnek, bedel ödemesi ile mülkiyet devrinin aynı anda gerçekleşmesidir. Proje ve satın alma işlemlerinde bu mantık, kapanış mekaniğinin ve emanet (escrow) düzeneğinin temelini oluşturur: fonların serbest bırakılması ile hisse ya da varlık devri, taraflardan hiçbirinin diğerine karşı korumasız kalmayacağı biçimde eşzamanlı kilitlenir. Uygulamada bu eşzamanlılık, kapanış gündeminin saat saat koreografisiyle sağlanır.
English Definition
A condition requiring both parties to perform their reciprocal obligations at the same moment, where each party's performance is contingent on the other's simultaneous performance; the classic instance is payment of price against transfer of title. In project and acquisition transactions this logic underpins closing mechanics and the escrow arrangement: release of funds and transfer of shares or assets are locked to occur simultaneously, so neither party is left exposed to the other. In practice, that simultaneity is engineered through the hour-by-hour choreography of the closing agenda.
