İlk çekiş öncesi ön koşullar tipik olarak kurumsal onayları, hukuki mütalaaları, sigorta poliçelerini ve teminat tesisini kapsar; ajan bankanın 'tatmin edici' bulması kaydı, bu listeye örtük bir takdir yetkisi ekler. English Definition
A fact or act that must occur before a party's obligation arises or a right becomes exercisable; in loan agreements it denotes the list of documents and events that must be in place before drawdown. Conditions precedent to first utilisation typically cover corporate approvals, legal opinions, insurance policies and perfection of security, while the qualifier that the agent bank find them 'satisfactory' injects an implicit discretion into the list. The real tension for practitioners is keeping the CP timetable aligned with the project schedule, since a single delayed condition can halt the entire drawdown chain.
