English Definition
A condition which, if it occurs, brings an existing obligation or right to an end; unlike a condition precedent it operates after performance has begun and can undo it retrospectively. In loan transactions, conditions subsequent typically govern the list of documents to be delivered after closing: drawdown occurs at closing, but if certain security registrations or formalities are not completed within the agreed window, a default arises. The practitioner's concern is monitoring this post-closing tail, since an overlooked condition subsequent can quietly mature into an event of default months later.
